We thank you for your interest in our services. Please find below our work for setting up a new company (“New Co”) as per your request.

 

Scope of Services:

 

We will provide the following services:

 

   (i)    Check the availability and reserve the name of the New Co with the Department of Business Development, Ministry of Commerce;

 

   (ii)   Draft the Memorandum of Association of the New Co well as designate the objectives which cover the business of the New Co including all other relating business and other potential business;

 

   (iii)  Draft notice and minutes for the statutory meeting (the meeting whereby the shareholders discuss on the establishment of a company) of the New Co;

 

   (iv)  Prepare the list of shareholders;

 

   (v)   Prepare share certificates and share register book;

 

   (vi)  Propose for your approval and arrange for the production of the seal of the New Co as well as providing advice regarding the requirements of the Department of Business Development, Ministry of Commerce for the company’s seal;

 

   (vii)  Provide standard Articles of Association of the New Co in order to meet with your requirements and fit the New Co’s business;

 

   (viii) Register the Establishment of the New Co with the Department of Business Development, Ministry of Commerce;

 

   (ix)  Request and obtain the certified copy of the statutory document and other corporate documents of the New Co;

 

   (x)   Application for taxpayer ID card; and

 

After the completion of the process, you will receive: 

   (i)    The certified copy of all corporate documents which are:

       (a) the Memorandum of Association;

       (b) the Certificate of Incorporation;

       (c) the affidavit including list of objectives;

       (d) the relevant page of corporate document bearing sample seal;

       (e) the list of shareholders

       (f) the share certificates for shareholders;

       (g) the seal of the company;

       (h) Company tax ID card.

 

   (ii)    the official receipt for all official fee (for accounting purpose)

Estimated Timeframe

 

        1.       The questionnaire for preparing the application to establish the company will be forwarded to you immediately after your acceptance.

 

        2.       The application to establish the company will be forwarded to you within 5 days after the questionnaire is filled in and returned to us.

 

        3.       The registration will be made within 3 days after it is signed and returned to us.

 

All procedures are expected to be completed within approximately 2 weeks.

 

In providing this timeframe, we assume that there shall be no delay caused by document delivery, signing, etc.

 

Required Documents

 

You will be required to fill in the questionnaire and provide the documents listed in the said questionnaire which will be forwarded to you after this proposal is accepted.

Corporate Maintenance

 

Please note that in order to maintain the New Co, you may also require accounting service, monthly tax filing, and the preparation of financial statement which we will be pleased to submit you our quotation in the future.
